ShotSpotter Announces Pricing of Public Offering of Common Stock

NEWARK, Calif., March 06, 2019 (GLOBE NEWSWIRE) -- ShotSpotter, Inc. (NASDAQ:SSTI) today announced that it has priced its underwritten public offering of 385,539 shares of its common stock, which includes 250,000 shares to be sold by ShotSpotter and 135,539 shares to be sold by certain selling stockholders, including directors and officers of ShotSpotter. Estimated gross proceeds to the company will be approximately $11.2 million before deducting expenses.  

The company has granted the underwriter a 30-day option to purchase up to an additional 57,830 shares. The offering is subject to customary closing conditions and is expected to close on March 8, 2019.

The company expects to use the net proceeds from the offering for working capital and general corporate purposes. The company will not receive any proceeds from the sale of the shares by the selling stockholders.

JMP Securities is acting as the sole underwriter for the offering.
